(Constitution Approved in General meeting July 1998 and amended to reflect certain operating changes after Approval at the AGM in July 2019 and changes to Winding Up / Dissolution approved at the 2019/20 Season AGM on 12th January 2021)

  1. NAME:
    • The name of the Club shall be "THE TRING TORNADOES JUNIOR SPORTS CLUB".
    • The aim of the Club is to help and educate boys and girls through their leisure-time activities, so to develop their physical, mental and spiritual capacities that they may grow to maturity as individuals and members of society and that their conditions of life may be improved.
    • (i) Membership of the Club shall comprise Senior Members of the age of seventeen and over, and Junior members over the age of three years and below the age of seventeen years.
    • (ii) Any person shall be eligible to become President or Vice-President at the invitation of the Management Committee.
    • All members shall pay such subscriptions as the Management Committee may from time to time determine.
    • (i) The activities of the Club shall be controlled by a Management Committee which shall consist of not less than twelve and no more than fifteen adult members.
    • (ii) Adult members of the Management Committee shall be elected annually at the Annual General Meeting of the Club.
    • (iii) Two adult members of the Management Committee shall retire each year. No member shall serve for more than three consecutive years without re-election. Retiring members are eligible for re-election to the Management Committee.
    • (iv) The Management Committee shall have the power to co-opt not more than seven additional members. Co-opted members shall not have voting powers on the Management Committee.
    • (v) Voting on the Management Committee shall be one vote per member present, the Chairman to have the casting vote and the result of such votes determined by simple majority.
    • (vi) The Management Committee shall elect the Chairman, Secretary and Treasurer and such other between 2 and 5 Officers as they deem necessary from within the Committee.
    • (vii) The Management Committee shall meet at least six times a year. A minimum of four members shall constitute a Quorum.
    • (viii) The Committee shall devise methods of achieving the objects of the Club and exercise a general oversight of its activities.
    • (ix) The Management Committee may delegate any of its powers to Sub-Committees. Sub-Committees so formed shall in the exercise of the powers so delegated, conform to any regulations that may be imposed on it by the Management Committee. All actions and proceedings of such Sub-Committees shall be reported to and confirmed by the Management Committee.
    • (x) the powers delegated to the sub committee shall be in writing.
    • (xi) Nominations for election to the Management Committee may be submitted in writing not less than 21 days before the Annual General Meeting or at. the appropriate time at the Annual General Meeting.
    • (xi) The Annual General meeting shall be held by the end of September each year.
    • (i) The Management Committee shall cause to be kept accounts of all monies belonging to the Club and such accounts shall be audited annually and presented to the Annual General Meeting.
    • (ii) Financial year shall run to 30th June.
    • (i) A General Meeting of members over the age of seventeen shall be held once a year. Not less than fourteen days notice of the meeting shall be given.
    • (ii) The General Meeting shall receive an Annual Report, an Audited Statement of Accounts and shall elect the Management Committee for the forthcoming year.
    • (iii) A Special General Meeting may be convened at any time by the Management Committee. Not less than fourteen days notice of the meeting shall be given.
    • All property and assets of the Club shall be vested in Trustees appointed by the Management Committee. The number of Trustees shall not be less than three and not more than four.
    • (i) If the members resolve to dissolve the Club the Trustees will remain in office as charity trustees and be responsible for winding up the affairs of the Club in accordance with this clause.
    • (ii) The Trustees must collect in all the assets of the Club and must pay or make provision for all the liabilities of the Club.
    • (iii) The Trustees must apply any remaining property or money: (A) directly for the objects; (B) by transfer to any charity or charities for purposes the same as or similar to the Club; (C) in such other manner as the Charity Commission for England and Wales (‘the Commission’) may approve in writing in advance.
    • (iv) The members may pass a resolution before or at the same time as the resolution to dissolve the Club specifying the manner in which the Trustees are to apply the remaining property or assets of the Club and the Trustees must comply with the resolution if it is consistent with (A) - (C) inclusive in sub-clause (iii) above.
    • (v) In no circumstances shall the net assets of the Club be paid to or distributed among the members of the Club (except to a member that is itself a charity).
    • (vi) The Trustees must notify the Commission promptly that the Club has been dissolved. If the Trustees are obliged to send the Club’s accounts to the Commission for the accounting period which ended before its dissolution, they must send the Commission the Club’s final accounts.
    • The Management Committee shall have the power to issue Standing Orders and/or Rules. Such Standing Orders and Rules shall come into operation immediately provided always that they shall not be inconsistent with provisions of this constitution.
    • The above Constitution shall only be altered by resolution passed by a two-thirds majority of a special General Meeting, At least fourteen days notice must be given of the proposed amendments. No amendment shall be made to the Constitution which would cause the Club to cease to be a charity in law.
    • Special General Meetings should be called if requested by more than 40 members. Not less than fourteen days notice of such meetings must be given to all members.
